Free mutual NDA template (UK)

A mutual non-disclosure agreement (NDA) lets two people or businesses talk openly about an idea, a project or a possible deal while each promises to keep what they learn private. This starter form is written in plain English for UK use and comes with the signature fields already in place.

Who signs

First party and Second party. Each signs on their own phone or computer from a link in an email, and neither needs an account.

What you fill in

  • Each party’s full name and address
  • What the parties are discussing

What it covers

  • What counts as confidential
  • What each party promises
  • What is not covered
  • Returning information
  • How long it lasts (two years)
  • General terms

When to use it

  • Before sharing ideas, plans or figures with a possible partner, supplier or collaborator
  • When both sides will be sharing information, not just one
  • For an early conversation, before a full contract is agreed

When it’s not the right form

  • An agreement where only one side shares confidential information
  • Anything that involves valuable intellectual property or complex terms, where a solicitor should draft or check the wording

How to get it signed

  1. Choose this template in SignEdge. The wording and fields are laid out for you.
  2. Add the real email address for each person who signs, and fill in the details above.
  3. Send it. Each person signs from their link and everyone receives the signed PDF.

Every signed PDF ends with an activity trail page, and you can check later that the file has not changed with the document checker. New accounts get a 7-day free trial with no card needed.

These are general starting points, not legal advice, and SignEdge can’t check that a form suits your situation. For anything important or unusual, ask a solicitor. For the rules on signing online, see are electronic signatures legal in the UK.
